日本企業がドイツ，フランス，スペイン，イタリアなどのEU加盟国に進出する際に影響がある法律の一つにEU競争法（EU機能条約）（Treaty on the Functioning of European Union）があります。

　EU競争法の内，特に重要な条項は第101条（競争制限的協定／協調的行為に関する規制）および第102条（市場支配的地位の濫用に関する規制）が挙げられます。

　第101条は以下のように規定されています。

"1. The following shall be prohibited as incompatible with the internal market: 

all agreements between undertakings, decisions by associations of undertakings and concerted practices which may affect trade between Member States and which have as their object or effect the prevention, restriction or distortion of competition within the internal market, and in particular those which:

(a) directly or indirectly fix purchase or selling prices or any other trading conditions;

(b) limit or control production, markets, technical development, or investment;

(c) share markets or sources of supply;

(d) apply dissimilar conditions to equivalent transactions with other trading parties, thereby placing them at a competitive disadvantage;

(e) make the conclusion of contracts subject to acceptance by the other parties of supplementary obligations which, by their nature or according to commercial usage, have no connection with the subject of such contracts.

2. Any agreements or decisions prohibited pursuant to this Article shall be automatically void.

3. The provisions of paragraph 1 may, however, be declared inapplicable in the case of:

— any agreement or category of agreements between undertakings,

— any decision or category of decisions by associations of undertakings,EN C 83/88 Official Journal of the European Union 30.3.2010

— any concerted practice or category of concerted practices,which contributes to improving the production or distribution of goods or to promoting technical or economic progress, while allowing consumers a fair share of the resulting benefit, and which does not:

(a) impose on the undertakings concerned restrictions which are not indispensable to the attainment of these objectives;

(b) afford such undertakings the possibility of eliminating competition in respect of a substantial part of the products in question."

これは，概ね以下の内容を規定しています。

1　加盟国間の取引に影響を与えるおそれがあり，かつ，域内市場の競争の機能を妨害し，制限し，若しくは歪曲する目的を有し，またはかかる結果をもたらす事業者間のすべての協定，事業者団体のすべての決定及びすべての協調的行為であって，特に次の各号の１つにでも該当する事項を内容とするものは，域内市場と両立しないものとし，禁止する。

a　直接又は間接に，購入価格若しくは販売価格又はその他の取引条件を決定すること（価格協定）
b　生産，販売，技術開発又は投資を制限し又は規制すること
c　市場又は供給源を割り当てること
d　取引の相手方に対し，同等の取引について異なる条件を付し，当該相手方を競争上不利にすること，又は，
e　契約の性質上又は商慣習上，契約の対象とは関連のない追加的な義務を相手方が受諾することを契約締結の条件とすること （抱き合わせ契約）

2　本条の規定により禁止されている協定又は決定は自動的に無効となる。

しかしながら，3項において，1項に該当する協定又は決定であったとしても，例外的に1項違反にならない要件を定めています。

3　①商品の生産・販売の改善や技術的・経済的進歩の促進に役立ち，②その結果生ずる利益が公平に消費者に還元されるものであって，③この①の目的を達成するために必要不可欠でない制限を参加事業者に課すものではなく，かつ，④当該商品の実質的部分について，参加事業者に競争を排除する可能性を与えない協定等については，欧州委員会は，EU機能条約第101条1項を適用しないことを宣言することができる。

　水平的（同業事業者間）協調行為についての第101条1項・3項の具体的な解釈については，ガイドライン「Guidelines on the applicability of Article 101 of the Treaty on the Functioning of the European Union to horizontal co-operation agreements (Text with EEA relevance) (2011/C 11/01) 」が出されています。

　このEU競争法（EU機能条約）に関してよく問題になるのは，①EU域内での販売地域の制限（販売店はドイツだけで販売可能とするなど）と②競合品の取り扱い禁止（販売店はサプライヤーの商品と競合する商品を販売してはならないとするなど）です。

　①のEU域内での販売地域の制限についてはこちらの記事で解説しています。

　②の競合品の取り扱い禁止については，当該商品の市場占有率や禁止期間を考慮して例外的に許される場合がありますが，原則として競合品の取り扱いを禁止することはEU機能条約違反となり認められていませんので注意してください。
